The "Win a Mamma Mia! The Movie Vacation" Contest (the “Contest”) begins on June 23, 2008 at 12:01 a.m. EST and ends on July 6, 2008 at 11:59 p.m. EST (the "Promotion Period") when all entries must be received. Modern Tonic’s computer shall be the official time-keeping device for the Contest. At the end of the Promotion Period, a random drawing will be conducted to select one (1) Grand Prize winner and twenty (20) Runner Up Prize winners Entry in the Contest does not constitute entry into any other promotion, contest or sweepstake. By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Contest Rules (the “Official Rules”) and the decisions of Modern Tonic (“Modern Tonic”), c/o Music In A Different Kitchen LLC, 245 Eighth Avenue, #286, New York, NY 10011 and Atlantis Events (“Atlantis Events”), 9200 Sunset Blvd #500, West Hollywood, CA 90069 (collectively, the "Sponsor"), which shall be final and binding in all respects. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Eligible entrants must enter by visiting Modern Tonic’s website (http://moderntonic.com) during the Promotion Period and by following the links and instructions to (a) subscribe to Modern Tonic (or if an entrant is an existing subscriber to Modern Tonic, enter the email address where he/she receives Modern Tonic emails), and (b) submit the names and email addresses of at least three (3) individuals who are eligible to enter the Contest. Each of the individuals referred by the entrant will receive an email notifying him/her about Modern Tonic and the Contest. Entrants may only refer individuals with whom they have an existing relationship (e.g., friends or family). Once an entrant has subscribed (or has entered his/her email address if an existing subscriber) and has submitted the names and email addresses of at least three (3) individuals, such entrant will automatically receive one (1) entry into the Contest.

For this contest only, upon successfully submitting an entry, entrants will also be added to Atlantis Events’ email list. Entrants are free to opt out of that list at any time by simply unsubscribing. Other than as set forth herein, entrants’ email addresses will NOT be used for any other purposes.

Limit one (1) entry per person during the Promotion Period. Multiple entries submitted by a single person are void. Incomplete entries are void. Entrant’s email addresses will be shared with Atlantis Events; the Sponsor will not otherwise share, distribute or sell entries to any third parties. By entering the Contest, each entrant acknowledges compliance with the Official Rules, including all eligibility requirements. No mechanically reproduced, software-generated or other automated multiple entries permitted. The Sponsor will not be responsible for incomplete, lost, late, misdirected or illegible entries or for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with sender or the Sponsor, or for any human error lost/delayed data transmission or any other error or malfunction. In the event of a dispute, all email entries will be deemed to have been submitted by the owner of the email account from which they were sent. For these purposes, an email account holder shall mean the natural person assigned to such email account by the Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with such email account. The Potential Winner (or the Alternate Potential Winner, if applicable) may be required to show proof of being the authorized account holder. All entries become the property of Modern Tonic and will not be acknowledged or returned. Each entrant agrees that he or she shall not upload, post or transmit any materials which contain any computer viruses, worms or other harmful component or programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. Entry materials that have been tampered with or altered are void. Any questions regarding the number of entries submitted or the owner of an email account shall be determined by Modern Tonic in its sole, reasonable discretion, and Modern Tonic reserves the right to amend, modify or terminate the Contest or to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Contest.

The Contest is open solely to legal residents of the fifty (50) states of the United States and the District of Columbia who are at least eighteen (18) years old at the time of entry and have all appropriate legal documentation to leave the country. Management and employees (and families of such employees or management) of the Sponsor are prohibited from winning any Prizes awarded by Modern Tonic, are expressly prohibited from participating in this Contest and are not eligible to receive the Grand Prize or any other prize or benefit to be conferred under this Contest.

Twenty-one (21) potential winners (collectively, the “Potential Winners”) will be selected in a random drawing to be conducted by the Sponsor on or about July 7, 2008 from among all eligible Contest entries that Modern Tonic has received during the Promotion Period, the first (1st) of which shall be deemed the Potential Winner of the Grand Prize and the remaining twenty (20) of which shall each be deemed a Potential Winner of the Runner Up Prize. If the Potential Winner of the Grand Prize cannot be contacted, does not respond within one (1) day after Modern Tonic’s notice or attempted notice, or fails to sign and return an affidavit of eligibility and a liability and publicity release (if applicable), then such Potential Winner of the Grand Prize forfeits any and all rights in and to the Grand Prize and any other prize or benefit conferred under the Contest, and the Grand Prize shall be awarded to the first (1st) Potential Winner of the Runner Up Prize (that is, the second Potential Winner selected in the drawing). This process shall repeat itself, in the order in which the Potential Winners were selected in the drawing, until the Grand Prize is awarded. Alternate potential prize recipients (the “Alternate Potential Winners”), if necessary, may be selected by means of a subsequent random drawing to be conducted from among all remaining eligible Contest entries. Only five (5) alternate drawings will be held after which the Prizes will remain unawarded. All decisions of the Sponsors (including without limitation, determinations as to the administration and operation of the Contest and the selection of the Potential Winners and the Alternate Potential Winners) are final and binding in all matters related to the Contest and are final, binding and non-appealable in all respects. The Prizes are non-transferable and non-endorsable, and no cash or other substitutions will be offered except as provided herein, at the sole discretion of the Sponsors. If the any of the Prizes becomes unavailable for any reason, Modern Tonic reserves the right (but is not obligated) to substitute a prize of equal or greater value. The odds of winning the any of the Prizes depend on number of eligible entries received during the Promotion Period.

Prizes: One (1) Grand Prize (the “Grand Prize”) - The one (1) Potential Winner will receive one (1) Category 9 Stateroom for two (2) guests on Atlantis Event’s London to Barcelona Cruise, from August 30 to September 9, 2008 (ARV: $3,798), plus one (1) Mamma Mia! The Movie vacation prize pack (which contains an assortment of Mamma Mia! The Movie promotional items, including a CD of the film soundtrack) (ARV: $50). The total approximate retail value of the Grand Prize is $3,848.

Twenty (20) Runner Up Prizes (the “Runner Up Prize”) - Twenty (20) Potential Runner Up Winners will receive one Mamma Mia! The Movie vacation prize pack (which contains an assortment of Mamma Mia! The Movie promotional items, including a CD of the film soundtrack). The approximate retail value of each of the Runner Up Prizes is $50.00.

All expenses (including, without limitation, airfare, ground travel, port fees, accommodations and gratuities except as outlined above, and any income, sales, use and/or any other applicable taxes and fees) in connection with the acceptance, receipt and/or use of the Prizes are the sole and full responsibility of the Potential Winners or the Alternate Potential Winners for each prize.

The Potential Winners (and/or the Alternate Potential Winners for each prize, if applicable) will be notified by email and telephone. The Potential Winner and/or the Alternate Potential Winners may waive their respective rights to receive the Prizes. The Potential Winners and/or the Alternate Potential Winners may be required to complete an affidavit of eligibility, and a liability and publicity release (except where prohibited by law), which must be returned within one (1) day of the date of notification. Failure to sign and return the affidavit or release within one (1) day, or to comply with any term or condition of the Official Rules, may, at the sole discretion of the Sponsors, result in the disqualification of the Potential Winners and/or the Alternate Potential Winners, the forfeiture of his or her interest in the relevant prize, and the award of such prize to an alternate prize recipient by random drawing from among all remaining eligible entries.

Except where prohibited, participation in the Contest constitutes the Potential Winner's (and/or the Alternate Potential Winner’s) consent to the publication of his or her name, likeness, image, voice and biographical information in any media, worldwide and in perpetuity, for any commercial or promotional purpose, without limitation or further compensation. By receipt of any of the Prizes, the Potential Winners and/or Alternate Potential Winners agrees to release and hold harmless the Sponsors, their respective affiliates, agents and employees, from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt, use or misuse of the Prizes. Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal or state courts located in New York, New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. The Official Rules, or the rights and obligations of the entrant and the Sponsors in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules.
